1. Definitions
In these Terms & Conditions, the following terms have the meanings set out below:
- “Agreement” means these Terms & Conditions together with any executed service agreement or engagement letter between you and Batik Compass.
- “Client” / “You” / “Your” means the individual or organisation entering into an agreement with Batik Compass.
- “Batik Compass” / “We” / “Us” / “Our” means the consulting firm operating under the name Batik Compass, based at 138 Market Street, #22-01, CapitaGreen, Singapore 048946.
- “Services” means the consulting services described on our website and in any executed engagement letter, including Competitive Intelligence Briefing, Data Governance Framework, and Transformation Programme Management.
- “Deliverables” means the documents, reports, frameworks, and materials produced as outputs of an engagement.
- “Confidential Information” means all non-public information disclosed by either party in connection with an engagement.
- “Website” means the website operated by Batik Compass at batikcoms.biz.
2. Acceptance of Terms
By using our Website, submitting a contact form, or entering into a service agreement with Batik Compass, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are entering into this Agreement on behalf of an organisation, you represent that you have the authority to bind that organisation.
If you do not agree to these Terms & Conditions, please do not use our Website or engage our services.
3. Service Description
Batik Compass provides business consulting services to organisations in Singapore and the region. Our current service offerings are:
- Competitive Intelligence Briefing (SGD 285 — 2–3 weeks)
- Data Governance Framework (SGD 680 — 5–8 weeks)
- Transformation Programme Management (SGD 1,440 — 12–20 weeks)
The specific scope, deliverables, and timeline for each engagement are agreed and documented in an engagement letter before work begins. The published fees and durations represent standard parameters; variations to scope are reflected in a written addendum.
We reserve the right to decline any engagement at our discretion, including where we determine that a conflict of interest exists or where the requested scope falls outside our areas of competence.
4. Website Use
You may use our Website for lawful purposes related to evaluating or engaging our consulting services. You must not use the Website in any way that breaches applicable laws, infringes third-party rights, or disrupts our operations.
We reserve the right to restrict or terminate access to the Website without notice where we reasonably believe that the Website is being misused.
5. User Responsibilities
In connection with any engagement or use of our Website, you agree to:
- Provide accurate, complete, and timely information as reasonably required for us to deliver the agreed services
- Ensure that information you share with us does not infringe the rights of any third party
- Make relevant stakeholders available for discovery sessions, workshops, or review meetings as agreed in the engagement scope
- Pay invoices within the agreed payment terms
- Maintain the confidentiality of Confidential Information received from Batik Compass
Delays in providing required information, access, or feedback may extend the timeline of the engagement. We will communicate any timeline impact in writing promptly upon becoming aware of it.
6. Intellectual Property
Website content: All content on our Website — including text, design, graphics, and code — is owned by or licensed to Batik Compass. You may not reproduce, distribute, or create derivative works from Website content without our prior written consent.
Engagement deliverables: Upon receipt of full payment for an engagement, Batik Compass grants you a non-exclusive, non-transferable licence to use the Deliverables for your internal business purposes. This licence does not include the right to resell, sublicense, or distribute Deliverables to third parties.
Methodologies and frameworks: Any proprietary methodologies, frameworks, or analytical tools used by Batik Compass in delivering the Services remain our intellectual property, regardless of whether they are incorporated into a Deliverable. You receive access to the outputs, not the underlying methods.
Client materials: You retain all rights to information, documents, and materials you provide to us. We do not claim any ownership over client-provided materials and will not use them beyond the scope of the engagement.
7. Payment Terms
All fees are in Singapore Dollars (SGD) unless otherwise stated in the engagement letter. The published fees are fixed for the standard scope of each service.
- Payment terms and invoicing schedule are set out in the engagement letter.
- Invoices are due within 14 days of the invoice date unless otherwise agreed.
- Late payments may attract interest at the rate of 1.5% per month on the outstanding balance.
- Scope changes agreed after engagement commencement will be invoiced separately at agreed rates.
Fees are not contingent on business outcomes unless explicitly stated otherwise in the engagement letter. Consulting services are billed for the work performed, not the results achieved.
8. Service-Specific Terms
8.1 Competitive Intelligence Briefing
Findings are based on publicly available information at the time of research. We cannot warrant the completeness or accuracy of third-party information. The briefing document is designed for internal use by your organisation and should not be distributed externally without our written consent.
8.2 Data Governance Framework
The framework is designed to be appropriate for your organisation at the time of the engagement. As your data landscape, regulatory environment, or organisational structure evolves, you are responsible for updating the framework accordingly. We are not liable for compliance failures arising from changes in law or your operations occurring after the engagement concludes.
8.3 Transformation Programme Management
Our role is advisory and oversight-focused. Batik Compass does not take accountability for the decisions made by your leadership or implementation teams during the programme. Programme outcomes depend on factors outside our control, including the performance of implementation vendors, technology systems, and internal organisational decisions.
9. Disclaimers
Our Website is provided on an “as is” basis. We make no representations or warranties regarding the accuracy, completeness, or suitability of Website content for any particular purpose.
Consulting services are provided on the basis of our professional judgement and the information available to us at the time of the engagement. Our advice and Deliverables are not a substitute for legal, financial, regulatory, or technical professional advice in their respective disciplines.
We do not warrant that specific business outcomes will result from following our recommendations. The implementation of any recommendations is your responsibility.
10. Limitation of Liability
To the fullest extent permitted by Singapore law, Batik Compass’s total liability to you for any claim arising under or in connection with an engagement will not exceed the fees paid by you for that specific engagement.
We will not be liable for any indirect, consequential, special, or punitive loss or damage, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunity.
Nothing in this clause limits or excludes liability for fraud, wilful misconduct, or any other liability that cannot be excluded under Singapore law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Batik Compass and its principals from any claims, losses, damages, liabilities, and costs (including reasonable legal fees) arising from your breach of this Agreement, your misuse of our Website, your use or implementation of our Deliverables, or any third-party claim arising from information you provided to us.
12. Termination
Either party may terminate an engagement by providing written notice. Where termination is initiated by you without cause, fees for work completed to the date of notice are due and payable within 14 days. Work in progress at the time of termination will be delivered in its then-current state.
We may terminate an engagement immediately and without liability to you if you materially breach this Agreement and fail to remedy the breach within 7 days of written notice, or if payment of an invoice is more than 21 days overdue.
Upon termination, clauses relating to intellectual property, confidentiality, payment, limitation of liability, and dispute resolution will survive.
13. Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of Singapore.
If a dispute arises in connection with this Agreement, the parties agree to first attempt to resolve it through good-faith negotiation between senior representatives of each party within 21 days of written notice of the dispute.
If the dispute is not resolved through negotiation, either party may refer it to mediation administered by the Singapore Mediation Centre before initiating legal proceedings.
If mediation is unsuccessful, disputes will be finally resolved by the courts of Singapore, to whose exclusive jurisdiction both parties irrevocably submit.
14. General Provisions
- Entire agreement: This Agreement, together with any executed engagement letter, constitutes the entire agreement between the parties on the subject matter and supersedes all prior communications.
- Severability: If any provision of this Agreement is found unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other.
- Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our rights to a successor entity in a merger or acquisition.
- Notices: Formal notices under this Agreement should be sent in writing to the addresses set out in the engagement letter or to [email protected].
- Force majeure: Neither party will be liable for delays or failures caused by circumstances beyond their reasonable control, provided the affected party notifies the other promptly and takes reasonable steps to mitigate the impact.
15. Changes to Terms
We may update these Terms & Conditions from time to time. Changes will be posted on this page with a revised “Last updated” date. For material changes, we will take reasonable steps to notify existing clients. Your continued use of our Website or services after changes are posted constitutes your acceptance of the revised Terms.
